The terms governing access to and use of Strategies4RXSavings, StrategiesRx, subscriptions, content, and related services.
These Terms of Use & Subscription Agreement (“Terms”) govern access to and use of the Strategies4RXSavings website, the StrategiesRx platform, medication-affordability database, reports, educational resources, tools, content, and related services (collectively, the “Services”) provided by Strategies4RXSavings Corporation, a Tennessee corporation (“Strategies4RXSavings,” “Company,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, accessing or using the Services, or otherwise indicating acceptance of these Terms, you agree to be bound by these Terms, our Privacy Policy, our Cancellation & Refund Policy, and any other applicable policies expressly incorporated into these Terms.
If you access or use the Services on behalf of a company, healthcare organization, insurance agency, employer, nonprofit organization, managed care organization, insurance carrier, or other entity (“Organization”), you represent that you have authority to accept these Terms on behalf of that Organization. In that case, “you” and “your” include both you and the Organization, as applicable.
If you do not agree to these Terms, do not access or use the Services.
Strategies4RXSavings Corporation provides medication-affordability information, educational resources, and technology designed to assist authorized users in identifying potential medication savings opportunities and affordability resources.
StrategiesRx is the Company’s proprietary medication-affordability information platform. It may include information concerning, among other resources:
The availability and functionality of particular Services may vary according to subscription, license, customer type, contractual arrangement, or other authorization.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase Services.
Strategies4RXSavings offers Services to various types of users and Organizations, which may include insurance professionals and agencies, physicians and clinics, hospitals and health systems, employers, nonprofit organizations, patient advocates, managed care organizations, insurance organizations, and other approved users.
Your right to use the Services is limited to the subscription, license, or contractual arrangement purchased or otherwise authorized by Strategies4RXSavings.
You may use the Services only for lawful purposes and in accordance with these Terms.
Certain Services require an account.
You agree to provide accurate and current account information and to keep that information reasonably up to date.
Unless Strategies4RXSavings expressly authorizes otherwise in writing, each individual Authorized User must maintain unique login credentials.
You may not:
Organizations are responsible for the use of the Services by their Authorized Users and for promptly notifying Strategies4RXSavings when an Authorized User should no longer have access.
You are responsible for maintaining the confidentiality and security of your credentials and for notifying Strategies4RXSavings promptly if you believe your account or credentials have been compromised.
Certain Services are provided through paid subscriptions or licenses.
The applicable price, billing frequency, number of Authorized Users, and included Services will be displayed at purchase or established in a separate written agreement, order form, proposal, or other contractual document.
Unless otherwise expressly stated, recurring subscriptions automatically renew for successive billing periods until canceled.
By purchasing a recurring subscription, you authorize Strategies4RXSavings and its payment processor to charge the payment method associated with your account for applicable recurring subscription fees, taxes, and other disclosed charges until the subscription is canceled.
Strategies4RXSavings may change subscription pricing or plan features prospectively. When legally required or otherwise appropriate, reasonable notice will be provided before a pricing change applies to a subsequent billing period.
Failure to pay amounts when due may result in suspension or termination of access.
Subscriptions may be canceled using the cancellation method made available by Strategies4RXSavings.
Unless otherwise stated in a separate written agreement, cancellation stops future renewal charges and becomes effective at the end of the current paid billing period. Access may continue through the remainder of that billing period.
Except where required by law or expressly provided in our Cancellation & Refund Policy, payments already made are nonrefundable.

The Services and their contents are owned by Strategies4RXSavings Corporation or used under appropriate rights or licenses and are protected by applicable intellectual-property and other laws.
This includes, as applicable:
Certain underlying information may originate from third-party or publicly available sources. Strategies4RXSavings does not claim ownership of third-party information merely because that information is referenced or organized within StrategiesRx.
Strategies4RXSavings does, however, retain its rights in its proprietary selection, organization, compilation, categorization, presentation, analysis, and arrangement of information to the extent permitted by law.
Except for the limited rights expressly granted under these Terms or a separate written agreement, no right, title, or interest in the Services is transferred to you.
Subject to your compliance with these Terms and payment of applicable fees, Strategies4RXSavings grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Services for the purposes permitted by your subscription, license, or separate written agreement.
This is a license to use the Services. It is not a sale or transfer of ownership of StrategiesRx, its database, its contents, or any underlying intellectual property.
Except where expressly authorized in writing by Strategies4RXSavings, you may not:
Reasonable use of StrategiesRx information for its intended medication-affordability purpose, including communicating identified savings opportunities to consumers or patients when permitted by the applicable subscription or license, is not prohibited by this section.
Unless expressly authorized by a separate written agreement with Strategies4RXSavings, StrategiesRx data, content, reports, database structures, compilations, classifications, and other proprietary materials may not be used to train, fine-tune, develop, populate, benchmark, validate, test, improve, or otherwise support an artificial intelligence system, large language model, machine-learning model, automated medication-affordability system, or competing database or service.
Nothing in this section prohibits an Authorized User from using ordinary productivity tools in a manner that does not disclose, reproduce, ingest, retain, or exploit Strategies4RXSavings proprietary information contrary to these Terms.
Strategies4RXSavings does not provide open, public, self-service, or generally available API access as part of a standard membership or subscription.
Strategies4RXSavings may enter into separately negotiated written agreements with selected Organizations for the integration, exchange, processing, or delivery of StrategiesRx information, reports, or related Services through an application programming interface (“API”), automated integration, or other technical connection (“Integrated Services”).
No subscription, membership, account, or use of the website grants a right to API or Integrated Services.
All API and Integrated Services require prior written authorization and a separate executed agreement with Strategies4RXSavings Corporation.
Such agreements may address, among other matters:
Attempting to access, discover, use, connect to, reverse engineer, or otherwise interact with a Strategies4RXSavings API or automated interface without express written authorization is prohibited.
Where an executed API, integration, enterprise, or other written agreement conflicts with these Terms, the executed written agreement will control with respect to the subject matter of that agreement.
StrategiesRx is designed to operate without requiring Strategies4RXSavings to collect, receive, maintain, or process patient-identifying information or Protected Health Information (“PHI”) as that term is defined under the Health Insurance Portability and Accountability Act (“HIPAA”).
StrategiesRx does not require patient names, dates of birth, street addresses, Medicare beneficiary identifiers, insurance member identification numbers, medical record numbers, or other patient-identifying information in order to identify medication-affordability resources.
You must not submit or transmit PHI or patient-identifying information to Strategies4RXSavings through the Services, customer-support communications, Integrated Services, APIs, file transfers, or other channels unless Strategies4RXSavings has expressly agreed in writing to a different arrangement before such information is transmitted.
Organizations are responsible for ensuring that their Authorized Users comply with this requirement.
Nothing in these Terms represents that Strategies4RXSavings has agreed to act as a HIPAA Business Associate for any customer or Organization.
StrategiesRx is an informational and decision-support resource intended to assist users in identifying potential medication-affordability opportunities.
Information may concern third-party programs and services that Strategies4RXSavings does not own, operate, administer, or control.
Program availability, funding, eligibility criteria, pricing, discounts, formularies, coverage requirements, pharmacy participation, manufacturer requirements, foundation-grant status, application requirements, Medicare rules, insurance requirements, and other information may change at any time.
Strategies4RXSavings endeavors to review and update its information but does not warrant that every item of third-party information will be complete, current, error-free, or applicable to a particular individual or circumstance.
Users should verify material information with the applicable manufacturer, charitable foundation, pharmacy, insurer, government program, healthcare provider, or other authoritative source before relying on it.
The identification of a medication-affordability resource does not guarantee that any individual:
Eligibility and benefits are determined by the applicable third-party program, manufacturer, foundation, pharmacy, insurer, government agency, or other responsible entity.
Prices and savings estimates may vary based on location, pharmacy, insurance status, benefit design, eligibility, supply, dosage, quantity, timing, and other factors.
Strategies4RXSavings may provide or enable the generation of medication-affordability reports.
Reports are intended to identify potential affordability resources based on information available at the time the report is generated.
A report is not a guarantee that any listed resource remains available or that a particular individual qualifies for or will receive the identified savings.
Reports may be provided to consumers or patients when permitted by the applicable subscription, license, or separate agreement.
The ability to provide a report to an intended recipient does not grant permission to extract, reproduce, republish, commercialize, or create a separate database from the underlying StrategiesRx information.
Strategies4RXSavings and StrategiesRx do not provide medical diagnosis, medical treatment, prescribing services, or individualized clinical advice.
Information provided through the Services is not a substitute for the professional judgment of a physician, pharmacist, or other appropriately licensed healthcare professional.
StrategiesRx does not direct an individual to start, stop, substitute, increase, decrease, or otherwise alter a prescribed medication, dose, dosage form, route of administration, or frequency of administration.
Medication and treatment decisions should be made by the patient and the appropriate licensed healthcare professional.
If affordability information identifies a potentially less expensive medication, formulation, route, dispensing option, or other alternative that could require a change in therapy or prescription, that information should be discussed with the prescribing healthcare professional or pharmacist as appropriate before any change is made.
Strategies4RXSavings may provide educational or informational content concerning Medicare, Medicaid, insurance coverage, prescription-drug benefits, and other government or private programs.
Unless expressly stated otherwise, Strategies4RXSavings is not affiliated with, endorsed by, or acting on behalf of the Centers for Medicare & Medicaid Services (“CMS”), Medicare, Medicaid, the Social Security Administration, any state Medicaid agency, any insurance carrier, pharmacy benefit manager, pharmaceutical manufacturer, charitable foundation, or pharmacy.
Coverage information may depend on the circumstances of an individual claim, route of administration, site of care, benefit design, plan rules, statutory requirements, medical necessity, and other factors.
Official plan documents, government rules, applicable law, and determinations made by the responsible payer or government program control over informational content provided through StrategiesRx.
The Services may contain links to or information concerning third-party websites, manufacturers, foundations, pharmacies, insurers, government agencies, discount programs, and other organizations.
These third parties are independent of Strategies4RXSavings.
Strategies4RXSavings does not control and is not responsible for the availability, content, privacy practices, security, eligibility decisions, pricing, services, or conduct of third parties.
A link, listing, or reference does not necessarily constitute an endorsement or guarantee by Strategies4RXSavings.
Your interaction with a third party is governed by that third party's own terms, policies, requirements, and practices.
Healthcare professionals, insurance professionals, patient advocates, and other professional users remain responsible for complying with the laws, regulations, licensing requirements, professional standards, employer policies, carrier requirements, and ethical obligations applicable to their activities.
Use of StrategiesRx does not replace independent professional judgment or relieve a professional user of responsibility for verifying information when appropriate.
Strategies4RXSavings does not provide legal advice and does not determine whether a particular user's activities comply with professional licensing, insurance, Medicare, healthcare, or other regulatory requirements.
Strategies4RXSavings may offer a public directory through which participating insurance professionals may make selected professional contact and licensing information available to consumers.
Participation in the directory is subject to Strategies4RXSavings requirements.
A professional who elects to participate authorizes Strategies4RXSavings to publish the information designated for public display, which may include name, business contact information, website, states of licensure, languages, or other professional information.
Participants are responsible for keeping their directory information accurate and for maintaining all required professional licenses.
Unless expressly stated otherwise, inclusion in the directory does not constitute a guarantee, certification, or endorsement of an individual professional by Strategies4RXSavings.
Strategies4RXSavings may correct, suspend, or remove directory listings that are inaccurate, outdated, misleading, inappropriate, or inconsistent with these Terms.
Strategies4RXSavings may make certain educational materials, consumer handouts, reports, or other resources available for printing, downloading, or sharing.
Where the Services expressly permit distribution of a particular resource, Authorized Users may distribute that resource for its intended educational or medication-affordability purpose.
Permission to distribute a particular resource does not grant permission to alter its meaning, remove proprietary notices, sell it separately, claim authorship, or use it to create a competing product or database.
All other copying or distribution requires prior written authorization.
Use of the Services is subject to the Strategies4RXSavings Privacy Policy.
The Privacy Policy explains how Strategies4RXSavings collects, uses, and discloses information concerning account holders, website visitors, Authorized Users, and other individuals interacting with Strategies4RXSavings.
The Privacy Policy is incorporated into these Terms by reference.
Strategies4RXSavings uses reasonable administrative, technical, and organizational measures intended to protect its systems and account information.
No internet-based service or electronic system can be guaranteed to be completely secure.
You agree not to attempt to interfere with, compromise, test without authorization, bypass, or disrupt the security or operation of the Services.
Strategies4RXSavings may suspend access when reasonably necessary to investigate suspected security threats, unauthorized access, abuse, or violations of these Terms.
Strategies4RXSavings may update, modify, improve, discontinue, or change features of the Services from time to time.
We do not guarantee that the Services will be available without interruption or error.
Maintenance, security events, technical problems, third-party outages, upgrades, or circumstances outside our reasonable control may temporarily affect availability.
Where a material change significantly affects a separately contracted enterprise or Integrated Service, the applicable written agreement may provide additional requirements.
If you voluntarily provide suggestions, ideas, recommendations, or other feedback concerning the Services, you grant Strategies4RXSavings the right to use that feedback to improve or develop its products and services without an obligation to compensate you, provided that Strategies4RXSavings does not acquire ownership of your preexisting intellectual property merely because it was included in feedback.
Strategies4RXSavings may suspend or terminate access to the Services when reasonably necessary because of:
Where appropriate, Strategies4RXSavings may provide notice and an opportunity to cure a violation.
Strategies4RXSavings may suspend access immediately when reasonably necessary to protect security, proprietary information, users, or the integrity of the Services.
Upon termination, your right to access the Services ends, except for rights that expressly survive termination.
Sections concerning ownership, intellectual property, prohibited use, disclaimers, liability, indemnification, dispute provisions, and other provisions that by their nature should survive will survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
STRATEGIES4RXSAVINGS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW.
STRATEGIES4RXSAVINGS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY CURRENT OR THAT A PARTICULAR MEDICATION-AFFORDABILITY RESOURCE WILL BE AVAILABLE, APPROPRIATE, OR SUCCESSFUL FOR A PARTICULAR INDIVIDUAL.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATEGIES4RXSAVINGS CORPORATION AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, ARISING FROM OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATEGIES4RXSAVINGS CORPORATION'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE CLAIMANT TO STRATEGIES4RXSAVINGS FOR THE APPLICABLE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
A SEPARATE EXECUTED ENTERPRISE, API, INTEGRATION, OR OTHER AGREEMENT MAY ESTABLISH DIFFERENT LIABILITY TERMS FOR SERVICES GOVERNED BY THAT AGREEMENT.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Strategies4RXSavings Corporation and its owners, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:
For an Organization, this obligation includes conduct of its Authorized Users acting within the scope of their access to the Services.
This section does not require indemnification to the extent a claim results from the negligence, willful misconduct, or violation of law by Strategies4RXSavings Corporation.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable federal law or another jurisdiction's non-waivable law controls.
Unless a separate written agreement provides otherwise, any legal proceeding arising from these Terms or the Services will be brought in a court of competent jurisdiction located in Tennessee, subject to any rights or venue requirements that cannot lawfully be waived.
Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief to protect intellectual-property rights, confidential information, system security, or against unauthorized access or use.
Strategies4RXSavings may update these Terms from time to time to reflect changes in the Services, business practices, technology, legal requirements, or other circumstances.
The current version will be posted on the Strategies4RXSavings website with an updated effective date.
If a change materially affects existing subscription rights or obligations, Strategies4RXSavings will provide additional notice when required by law or reasonably appropriate under the circumstances.
Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
Changes to separately executed agreements must be made in accordance with those agreements.
You consent to receive account-related notices and communications electronically, including by email or through the Services.
You are responsible for maintaining a current email address associated with your account.
Marketing communications are subject to applicable law and any available communication preferences.
You may not assign or transfer your rights under these Terms without prior written consent from Strategies4RXSavings.
Strategies4RXSavings Corporation may assign these Terms in connection with a merger, acquisition, reorganization, sale of substantially all relevant assets, or other lawful business transaction.
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed, and the remaining provisions will remain in effect.
Failure by Strategies4RXSavings to enforce a provision of these Terms does not constitute a waiver of that provision or any other provision.
These Terms, together with the Privacy Policy, Cancellation & Refund Policy, and any other policies expressly incorporated by reference, constitute the agreement governing ordinary access to and use of the Services.
An Organization or customer may also enter into a separate written agreement, enterprise agreement, API or integration agreement, order form, statement of work, or other executed contract with Strategies4RXSavings Corporation.
If a separately executed written agreement conflicts with these Terms, the separately executed agreement controls with respect to the Services and subject matter governed by that agreement.
